JournalofPrivateEnterprise,VolumeXXI,Number2,Spring2006UnethicalComplianceandtheNonSequiturofAcademicBusinessEthicsJohnHasnasGeorgetownUniversityWeliveinapost-Enronworld.ThecorporatescandalsthatrockedAmericanbusinessoverthepastfouryearshavebroughtrenewedattentiontotheimportanceofingrainingtheprinciplesofbusinessethicsintothecorporateenvironment.There.Ilovebeginninganarticlewithavacuousbromide.Andindoingso,Iactinkeepingwiththevastmajorityofpost-EnronbusinessethicsarticleswhichinvariablybeginwithsuchaproclamationandthenadvancevariousreformstocorporategovernanceintendedtopreventthenextEnron.Thus,wehearproposalstoencouragewhistleblowingbypromisingconfidentialityandsettingupombudsmenorethicsofficerstowhomemployeescananonymouslyreporttheirsuspicions;toinstituteprogramsoforganizationaljusticedesignedtoraisetheleveloftrustbetweenemployeesandmanagement;toprovidejunioremployeesledintowrongdoingbycorruptseniorcorporateofficialswithethicalmentorswhocanhelpthemgetbackontherightpath,andtoundertakerigorousprogramsofethicalself-assessmenttodetectandrectifyanypotentialunethicalorillegalconductwithinthefirm.AdherencetosuchreformsisbeingurgeduponincipientMBAsinbusinessschoolsthroughoutthenationaseffectivemeansforkeepingtheirfuturefirmsfreeoflegalentanglements.TheproblemisthatifournovitiateMBAstakethesecallsforreformtoheartandactuallyputthemintoeffect,theywillnotonlyincreasethechancesoftheirfirmsbeingindicted,whichinitselfcanbeacorporatedeathsentence,butalsogreatlymagnifythefinancialpenaltythefirmmayincurshoulditbeconvictedofacriminaloffense.Ratherthanpreventone'sfirmfrombecomingthenextEnron,theseproposalsmakeitJohnHasnas87
